1. Acceptance of Terms

By accessing or using Scolaris ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Scolaris provides access to an extracurricular activity database. The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not guarantee job placement or interview success.

3. User Accounts

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. We reserve the right to terminate accounts, remove or edit content, or cancel orders at our sole discretion.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Upload false, misleading, or fraudulent information
• Attempt to interfere with the Service or its security features
• Reproduce, duplicate, copy, sell, or resell any part of our Service
• Use automated systems or software to extract data from the Service

5. Content Ownership

You retain ownership of all content you upload to Scolaris. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of providing the Service. We retain all rights to the Scolaris platform, including all software, designs, and content we create.

6. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are non-refundable, except as required by law or as explicitly stated in these Terms. We reserve the right to change our prices at any time with 30 days notice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOLARIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

8. Indemnification

You agree to indemnify, defend, and hold harmless Scolaris, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and you waive any right to a jury trial or to participate in a class action.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
